We host the video and take a modest fraction of your first 250 sales.

BACKGROUND
The customer agrees that Æther Multimedia has the necessary qualifications, experience and abilities to provide the services needed by the business of the customer; AND the Æther Multimedia agrees to providing quality services to the customer following the terms and conditions stated in the service agreement signed by both parties.
IN CONSIDERATION OF the matters stated above and in consideration of mutual benefits set forth in this agreement, the parties to this agreement (both parties) agree on the terms as follows:
Engagement
The customer agrees to engage Æther Multimedia to provide the customer with services consisting of
VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT, on which content the customer and Æther Multimedia agree, and Æther Multimedia agrees to provide the services under the stated terms and conditions, which services may include:

Engagement
The customer agrees to engage Æther Multimedia to provide the customer with services consisting of
VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT, on which content the customer and Æther Multimedia agree, and Æther Multimedia agrees to provide the services under the stated terms and conditions, which services may include:
- Script Writing (optional)
- On-Location Video Shoot
- In-Studio Video Shoot
- Video Editing & Titles
- Custom Motion Graphics
- Sound Recording
- Video Hosting Service (through www.weebly.com)
- E-Commerce Page(s) (through www.weebly.com)
- Merchant Processing (through www.weebly.com)
- Distribution of Profits
- Financial Reporting (via independent third party)
Term of Agreement
- The term of the agreement begins on the date of this service agreement and will remain in full force until completion of two-hundred-fifty (250) sales of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT, to be expressly defined hereafter.
- Both parties agree that the customer retains exclusive rights to the intellectual property of the information provided by the customer and the presentation of that information in the VIDEO PRODUCTION FOR ONLINE CLASSROOM prior to the agreement, during the term of the agreement, and after the term of the agreement.
- Both parties agree that Æther Multimedia retains exclusive rights to the production process for the term of the agreement.
- Both parties agree that Æther Multimedia retains exclusive rights to the sales of and distribution modality, including the choice of online hosting service, of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT for the term of the agreement.
Performance
In consideration for the services to be provided by Æther Multimedia,
- Both parties agree on each and every clause of the service agreement and to do everything necessary to ensure that the terms and conditions of this agreement take effect.
- Both parties agree that Æther Multimedia will have the right to produce the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT which content shall be agreed upon by both parties.
- Upon completion of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT, both parties agree that Æther Multimedia will have exclusive distribution rights for the first two-hundred-fifty (250) sales of the VIDEO PRODUCTION FOR ONLINE CLASSROM CONTENT.
- Both parties agree that Æther Multimedia assumes the responsibility of providing an online hosting service for the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT.
- Both parties agree that Æther Multimedia assumes the responsibility of the cost of production of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT.
- Both parties agree that there is no financial risk to the customer for the production of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT.
- Both parties agree to no contractual obligation to market the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT; absolution of marketing obligation notwithstanding, both parties agree that it is in the best interest of both parties to market the sale of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT.
Compensation
- Both parties agree that Æther Multimedia will receive compensation for the production of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT from the revenues generated by the sales of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT on the hosting service provided by Æther Multimedia.
- Both parties agree that the compensation to Æther Multimedia by revenues from sales of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT will be disbursed in three phases, hereafter referred to as Phase-A, Phase-B, and Phase-C.
- Both parties agree that Phase-A will comprise the first fifty (50) sales of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT on the hosting service provided by Æther Multimedia. Both parties agree that Æther Multimedia will retain 50% of the revenues from Phase-A; the other 50% of revenues from Phase-A will be disbursed to the customer.
- Both parties agree that Phase-B will comprise the next two-hundred (51-250) sales of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT on the hosting service provided by Æther Multimedia. Both parties agree that Æther Multimedia will retain 10% of revenues of Phase-B; the other 90% of revenues from Phase-B will be disbursed to the customer.
- Both parties agree that Æther Multimedia has final say in the price of distribution of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT during Phase-A and Phase-B.
- Both parties agree that Phase-C will begin with sale 251 of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT on the hosting service provided by Æther Multimedia. Both parties agree that 100% of the revenues generated in Phase-C will be disbursed to the customer.
- Both parties agree that the term of this contract is complete at the beginning of Phase-C, at which time the customer assumes full distribution rights and responsibilities of the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT and Æther Multimedia’s obligation to provide hosting service is fulfilled.
Down Payment
- No down payment is required for the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT.
Special Offers
- Æther Multimedia reserves the right to provide the VIDEO PRODUCTION FOR ONLINE CLASSROOM CONTENT at periodic discounted rates for marketing purposes.
Independent Contractor Status
- Both parties agree Æther Multimedia is an independent contractor, and as such, each party retains independently all rights, privileges, and liabilities pertaining to the execution of this service agreement without expectation of fringe benefits, tax withholding, unemployment compensation, and/or workers’ compensation.
Applicable Law
- This Service Agreement will be governed by Arizona law, without giving effect to conflict of laws principles.
